1. About these Terms

These Terms of Use ("Terms") govern your use of allayze.com.au (the "Website") and the free tools offered on it — the AI chatbot, AI Voice Consultant, and free assessment (together, the "Free Tools", and with the Website, the "Service").

These Terms are a contract between you and Allayze Pty Ltd (ABN 85 681 486 822, ACN 681 486 822) of Gold Coast, Australia ("Allayze", "we", "us", "our").

Paid consulting engagements are not governed by these Terms. They are covered by a separate written agreement between Allayze and the client.

Please also read our Privacy Policy, Cookie Notice, and AI Voice Consultant Notice. Together, these documents make up the full agreement between us regarding your use of the Service.

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Definitions

• Allayze / we / us / our — Allayze Pty Ltd (ABN 85 681 486 822).
• Website — allayze.com.au.
• Free Tools — the AI chatbot, AI Voice Consultant, and free assessment.
• Service — the Website and Free Tools together.
• You — the person using the Service.

3. Who can use the Service

• You must be 18 or older to use the Service.
• The Service is provided for commercial evaluation only. It must not be used to submit classified, OFFICIAL: Sensitive, or Defence-controlled information.

4. The Service is information only

The Website and Free Tools are provided for general information and business enquiry. They are not professional, legal, engineering, financial, or investment advice. You are responsible for independently verifying any information before acting on it.

We make reasonable efforts to keep the Service available, but we do not guarantee uninterrupted access. The Service depends on third-party infrastructure (including Vercel, Microsoft, Vapi, and Anthropic). We are not liable for outages, downtime, or performance issues caused by those providers.

Some content on the Website is written with the assistance of AI tools and reviewed by humans before publication.

5. Free Tools and AI disclosures

5.1 Chatbot and AI Voice Consultant

The AI chatbot and AI Voice Consultant produce AI-generated responses. Outputs may be inaccurate, incomplete, or out of date, and should not be relied on as professional advice. You are responsible for independently verifying any information before acting on it. Allayze is not liable for decisions made based on AI-generated outputs.

5.2 Free assessment tool

The free assessment tool provides general, automated guidance based on your responses. It is not a substitute for professional consultation and should not be relied upon as the sole basis for business, engineering, or investment decisions.

6. Your content

When you submit content through the Service — including chat messages, voice input, or form submissions — you grant Allayze a non-exclusive, royalty-free licence to use that content solely for the purpose of providing, improving, and securing the Service, and as otherwise described in the Privacy Policy.

You retain ownership of your content. Allayze does not use your content to train AI models.

7. Acceptable use

When using the Service, you must not:

• Use the Service for any unlawful purpose or in breach of any law or regulation.
• Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service.
• Scrape, crawl, or use automated means to access the Service except as permitted by our robots.txt.
• Overload, attack, or interfere with the Service, its infrastructure, or other users (including via denial-of-service attacks).
• Impersonate another person or misrepresent your affiliation with any entity.
• Upload or transmit viruses, malware, or other malicious code.
• Use the AI chatbot or AI Voice Consultant to generate unlawful content, infringe any rights, or circumvent safety measures.
• Use the Service to submit classified, OFFICIAL: Sensitive, or Defence-controlled information.

8. Intellectual property

All content on the Website — including text, graphics, logos, images, case studies, blog posts, code, and the overall design — is owned by Allayze Pty Ltd or its licensors and is protected by Australian and international copyright and trademark law.

You may view and print pages for personal, non-commercial use only. Any other use — including reproduction, redistribution, scraping, or use as training data for AI models — requires prior written consent from Allayze.

9. Third-party links

The Website may contain links to third-party websites and services. Allayze does not control, endorse, or accept responsibility for those sites or services. Your use of them is governed by their own terms and privacy policies.

10. Termination

Allayze may suspend or terminate your access to the Website or any Free Tool at any time, without notice, if we reasonably believe you have breached these Terms, used the Service unlawfully, or posed a security risk. We may also discontinue any Free Tool at our discretion.

On termination, your right to use the Service ends immediately. Clauses that by their nature should survive (intellectual property, limitation of liability, governing law) will continue to apply.

11. Limitation of liability

The Website and Free Tools are provided for general information only. To the maximum extent permitted by law, Allayze excludes all liability for any loss or damage arising from your use of, or reliance on, the Website or Free Tools.

Nothing in these Terms excludes, restricts, or modifies any non-excludable consumer guarantee or right you have under the Australian Consumer Law. Where Allayze's liability cannot lawfully be excluded, it is limited to AUD $100.

Allayze is not liable for:

• Outages, downtime, or performance issues caused by third-party infrastructure (Vercel, Microsoft, Vapi, Anthropic, Google, or others).
• Decisions you make based on AI-generated content or assessment outputs.
• Loss of data, profits, or business opportunity.

12. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top will reflect the most recent change. For material changes, we will make reasonable efforts to provide at least 30 days' notice before the change takes effect (for example, via a prominent notice on the Website).

By continuing to use the Service after the revised Terms take effect, you agree to be bound by them. If you don't agree, stop using the Service.

13. Disputes

If you have a concern or dispute, you agree to first try to resolve it informally by contacting Allayze at info@allayze.com.au.

If the dispute cannot be resolved within 30 days, either party may refer it to mediation before commencing court proceedings, except where urgent injunctive relief is required.

14. Entire agreement

These Terms, together with the Privacy Policy, Cookie Notice, and AI Voice Consultant Notice, constitute the entire agreement between you and Allayze regarding your use of the Website and Free Tools, and supersede any prior representations or understandings.

15. Severability and waiver

Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force.

Waiver. Allayze's failure to enforce a right under these Terms does not waive that right.

16. Governing law and jurisdiction

These Terms are governed by the laws of Queensland and the Commonwealth of Australia. You submit to the exclusive jurisdiction of the courts of Queensland.
